Terms of Service
Effective Date: October 20, 2026 (Last Updated: October 20, 2026)
1. About these Terms
These Terms govern your use of Apily's website, account dashboard, API Gateway, and AI Studio (including interactive chat and multimodal generation for text, images, video, audio, music, voice, and file-based features) (collectively, the Services). Apily is referred to as Apily, we, or us. Contact: support@apily.pro.
By accepting these Terms when creating an account or placing an order, you agree to them. If you use the Services for an organisation, you confirm that you have authority to bind it. You must be at least 18 and legally able to enter into this agreement.
The Acceptable Use Policy and Refund Policy form part of these Terms. The Privacy Policy explains our processing of personal data. An agreed Data Processing Agreement governs processing on behalf of business customers within its scope.
2. What Apily provides
Apily aggregates access to third-party AI models through a unified API key and shared account balance. We do not develop or operate the underlying models and do not perform their model inference on Apily's own servers. We route requests to model services, including through technical routing intermediaries. Developers represented in the model catalogue may include OpenAI, Anthropic, DeepSeek, and others. A catalogue listing identifies a model or its developer; it does not imply an official partnership, endorsement, direct connection, or an affiliation with Apily.
Available models, features, modalities, and technical limits are shown in the current catalogue and interface. Providers may change or discontinue models. We may add, replace, or remove models and routes; model-specific availability is not guaranteed.
3. Beta availability
The Services are provided in beta testing on an "AS IS" and "AS AVAILABLE" basis. Short interruptions, maintenance, delays, or temporary loss of access to particular models may occur.
Apily's operational availability target is 99% per calendar month. This is an internal service objective, not a contractual uptime guarantee, a representation of measured historical availability, or an entitlement to service credits. There is no service-level agreement (SLA) or outage compensation under these Terms. Technical failures or routing interruptions do not result in a balance deduction; your unused Paid Balance remains refundable under the Refund Policy.
4. Accounts and API keys
Provide accurate account information, secure your credentials and API keys, and promptly report suspected unauthorised access to support@apily.pro. Do not sell or disclose your account credentials. You may integrate the API into your own applications, subject to these Terms, the AUP, and applicable model restrictions. You remain solely responsible for all users, requests, and integrations operating through your account and API keys.
5. Balance, prices, and charging
Your balance is denominated in USD. Paid Balance means credits funded by an actual payment to your account, excluding amounts already refunded or reversed. Unused Paid Balance does not expire. Promotional/Gift Credits means free bonus, promotional, or gifted credits issued by Apily without a corresponding customer payment. They are recorded separately from Paid Balance and are not redeemable for money. A top-up paid for by another person is not a Promotional/Gift Credit merely because it was a gift.
Consumption order: When you use the Services, available Promotional/Gift Credits are deducted first. Paid Balance is deducted only after all Promotional/Gift Credits have been exhausted.
The current tariff for the selected model and operation is displayed in the catalogue or payment/use interface. Depending on the model, charging may depend on input and output tokens or the relevant media generation unit. Check the applicable tariff before submitting a request. Rates may change prospectively; a later rate change does not retrospectively reprice a completed request.
Technical failures vs. completed generations: Failed requests (requests that fail due to a technical routing error or provider unavailability without returning a model response) are not charged to your balance. If you believe a failed technical request was charged in error, contact support@apily.pro so we can verify the technical log and restore the erroneously deducted balance. Once a request is successfully transmitted and the third-party model returns an output, the routing service is complete and the consumed balance is non-refundable. Because Apily is strictly a technical routing aggregator and does not develop, train, or control the underlying AI models, dissatisfaction with the quality, accuracy, formatting, style, or suitability of a model's output (including AI hallucinations, errors, or refusals) does not constitute a service defect and does not entitle you to a refund or credit of consumed balance.
We do not offer subscriptions or automatic renewals. A top-up does not authorise recurring charges. Balance is a prepayment for routing access to the Services, not a deposit or financial product; its refundability is governed exclusively by the Refund Policy. By submitting a request through the API, chat, or AI Studio, you expressly request immediate execution of the routing service and acknowledge that any statutory withdrawal or cooling-off right is extinguished with respect to the balance consumed by that completed request.
6. Payments
Supported methods include cryptocurrency and, for supported customers in European Union countries, bank cards, Apple Pay, and Google Pay in EUR. Availability is subject to the method and payment provider at checkout. An EUR payment is credited to your USD balance according to the conversion rate and credited amount displayed at checkout before you confirm payment. Any applicable taxes or payment-processing charges are shown at checkout prior to payment confirmation.
Payments are handled by third-party payment providers, including NOWPayments and PayHot. They may apply their own terms, payment verification, AML, sanctions screening, and identity checks. Apily does not conduct its own KYC procedure; this does not mean a payment provider will never request identification or restrict a transaction. Never send card security codes, passwords, or seed phrases to Apily support.
7. Refunds and termination
You may request a refund of the entire unused Paid Balance remaining on your account within one (1) year of the corresponding top-up payment by emailing support@apily.pro. Refunds are processed within 10 working days, by the original payment method and using the exchange rate applied at the time of the corresponding payment. Apily bears refund fees. Details, including the FIFO allocation rule for multiple top-ups, verification, and payment restrictions, are in the Refund Policy.
You may stop using the Services and request account deletion at any time. Account deletion does not forfeit a legitimate unused Paid Balance requested for refund within the one (1) year refund window. Unused Promotional/Gift Credits are non-refundable and are permanently cancelled upon account closure or termination.
We may restrict or suspend access where reasonably necessary to address an AUP breach, suspected unauthorised activity, a security threat, or a binding legal requirement. We may terminate an account for a serious or repeated AUP breach, a continuing security threat, or a binding legal requirement. Where lawful and practical, we will explain the reason, notify you of the action, and provide an opportunity to request review at support@apily.pro. Immediate action may be necessary to prevent harm or comply with law. Suspension or termination does not itself forfeit legitimate unused Paid Balance: the Refund Policy continues to apply, subject to withholding, offset, or refusal for fraud, abuse, chargebacks, or binding legal/payment restrictions. Account closure and deletion follow the Privacy Policy and any active DPA.
8. Your content and AI outputs
You retain your existing rights in the content you submit. You grant Apily the limited permission needed to transmit, process, and, where you use saved chat or media features, store that content to provide the Services and comply with your instructions. This is not a transfer of ownership or a permission for Apily to train its own models on your content.
You must have the necessary rights and lawful basis to submit content, including personal data, faces, voices, and third-party material. Commercial use of outputs depends on applicable law, the selected model's terms, and third-party rights. Apily does not promise that every output is unique, copyright-protected, accurate, or free of third-party rights.
You, not Apily, must review outputs before relying on, publishing, or acting on them. AI may produce incorrect, misleading, biased, or inappropriate material. Outputs are not a substitute for qualified medical, legal, financial, or other professional advice. Apily does not undertake to review each input or output.
9. Content retention, personal data in prompts, and providers
API Gateway vs. AI Studio retention: When you use the API Gateway, Apily does not store the text of your prompts or model responses; only technical usage metadata (timestamp, model used, tokens/units consumed, and balance deducted) is recorded. When you use AI Studio (including interactive chat and generation of images, video, audio, music, or voice), your chat history, uploaded source files, and generated media files are stored for at least 30 calendar days from creation or upload (unless you delete them earlier), after which they may be deleted at Apily's discretion. We strongly recommend downloading and saving any generated materials or chat outputs you wish to keep so you do not lose them. The Privacy Policy describes these storage rules in detail.
Content is transmitted to the relevant model service and may pass through technical routing intermediaries. Their processing and retention depend on the applicable service and contractual arrangements. We do not promise universal zero retention or universal no-training terms across all third-party models.
Customer responsibility for personal data in prompts: You are solely responsible for the content of your prompts, inputs, and files, and for ensuring the security, lawfulness, and appropriate protection (such as anonymisation, pseudonymisation, or redaction) of any personal data or confidential information you choose to include in requests. Do not include sensitive or regulated personal data in prompts unless you have verified that your use complies with applicable law. If you are a business customer that requires a formal Data Processing Agreement, you may execute our Data Processing Agreement with us, which applies only once separately completed and signed by both parties.
10. Exclusion of liability
THE SERVICES AND ALL ROUTED AI MODELS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Apily disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, and output accuracy or quality.
To the maximum extent permitted by law, Apily bears no monetary liability whatsoever for any losses, damages, or claims arising out of or relating to the Services. This exclusion applies to all direct, indirect, incidental, consequential, special, exemplary, and punitive damages; lost profits, revenue, business, goodwill, or anticipated savings; loss, corruption, or disclosure of data; service interruptions, unavailable models, latency, or routing delays; and any errors, hallucinations, omissions, or consequences of using or relying on AI outputs. It applies regardless of the legal theory of a claim (whether contract, tort, negligence, strict liability, or otherwise), even if Apily was advised of the possibility of such losses.
Your sole and exclusive monetary remedy against Apily for any dissatisfaction, service issue, or dispute is to stop using the Services and request a refund of your remaining unused Paid Balance under the Refund Policy. Consumed balance for completed requests is never refundable, and Apily does not pay damages, compensate customer losses, or provide outage credits under any circumstances.
Customer indemnification: You agree to defend, indemnify, and hold harmless Apily from and against any third-party claims, liabilities, penalties, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms or the Acceptable Use Policy; (b) the prompts, inputs, files, or personal data you submit through the Services; (c) your use, publication, or deployment of AI-generated outputs; or (d) any activity conducted by your end users or through your API keys.
11. Dispute resolution and protective clauses
11.1 Mandatory pre-dispute resolution (60-day informal cure period): Before initiating any formal legal or arbitration proceeding, you must first send a written Notice of Dispute to support@apily.pro containing your account email, a detailed description of the issue, the specific transaction references, and the relief requested (which under these Terms is limited to verification of failed technical charges or refund of unused Paid Balance). You and Apily agree to negotiate in good faith for 60 calendar days from receipt of the Notice of Dispute to resolve the matter informally. Attempting informal resolution is a strict condition precedent to commencing any formal proceeding; any proceeding filed without completing this 60-day process is invalid and must be dismissed.
11.2 Binding individual arbitration (UNCITRAL Rules): Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved during the 60-day informal resolution period shall be resolved exclusively through final and binding individual arbitration under the UNCITRAL Arbitration Rules then in force, conducted by a sole arbitrator in English on a documents-only (written submissions) basis or by remote video conference, without any requirement for in-person appearances, rather than in any state or local court.
11.3 Class action and representative action waiver: All claims must be brought strictly in the parties' individual capacities, and not as a plaintiff or class member in any purported class, collective, consolidated, mass, or representative proceeding. No arbitrator or tribunal may consolidate more than one person's claims or preside over any form of class or representative proceeding.
11.4 One-year limitation period (time bar): Any claim or cause of action arising out of or relating to the Services or these Terms must be formally initiated within one (1) year after the event giving rise to the claim first occurred; otherwise, such claim is permanently barred.
11.5 Severability, entire agreement, and no waiver: These Terms (together with the incorporated policies) constitute the entire agreement between you and Apily regarding the Services. If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties (including the exclusion of monetary liability), and the remaining provisions shall remain in full force and effect. Any failure by Apily to enforce a provision does not waive our right to do so later. Apily is not liable for delays or failures caused by events beyond its reasonable control, including upstream AI provider outages, internet or cloud infrastructure failures, blockchain congestion, payment-network disruptions, or regulatory actions.
12. Changes and contact
We may update these Terms, the model catalogue, tariffs, or features from time to time (including during beta testing). We will notify users of material changes by updating the notice on our website and in the account dashboard (and, where appropriate, by email). Updated Terms apply prospectively from the time of publication; continued use of the Services after notification constitutes acceptance of the updated Terms. If you do not agree to an update, you may stop using the Services and request a refund of your unused Paid Balance under the Refund Policy.
